Prologue

After Budget 2014, six terms in news:
- Transfer Pricing
- Advanced Pricing agreements (APA), roll back provision

All of them aim to reduce tax litigation, have direct-indirect connection with Vodafone case. So let’s refresh those old concepts.
What is Capital Gains Tax (CGT)?
- is a direct tax
- Levied on profit, when you sell capital assets (shares, gold etc)
- Matter falls under IT department, because it’s a direct tax.

CGT & Withholding norms (TDS)

- Assume Kishor Biyani wants to sell Pantaloon company to Kumar Mangalam Birla at profit of 1000 crore and has to pay 100 crore CGT to income tax department.
- In real life, seller (Kishor) himself doesn’t need to pay 100 Crore CGT to Government.
- Buyer (Birla) will have to keep aside 100 crore for government, and pay only 1000-100=900 crores to Biyani. Observe following photo
This is called withholding norms or Tax deduction at source (TDS).
Question: If income tax department doesn’t get the tax, then whom should they send notice- Buyer or Seller?
Ans. Buyer. Birla in Pantaloon deal and Vodafone in Hutch deal.
Vodafone CGT

- Hutchison (Hongkong) own a company called CGP investment Holding ltd, (Cayman Island)
- CGP owns 67% shares of Hutch-Essar India.
- Vodafone (HQ London), tells its subsidiary in Netherland, to purchase Cayman Island Company from Hutch (Hongkong) for the price of 11 billion dollars (~55k crore rupee that time)
- Now Vodafone owns CGP, therefore, and thus indirectly owns Hutch-Essar India also. Because CGP owned 67% shares of Hutch Essar India.
Ok so what’s happening?
- A buyer (Vodafone) has (indirectly) purchased shares (of an Indian company) from a seller (Hutch).
- So, does Buyer (Vodafone) have to pay Capital Gains Tax, in India?

Then Finance Minister Pranab doesn’t like it. Not one bit. So, he issues a clarification in IT act.
IT Act 1961: Clarification (2012)
- We can demand Capital gains Tax, when a foreign company is sold. IF that foreign company’s value is derived from Indian Assets. (e.g. CGP valued at 55k crore, because it owned HutchEssar India’s shares).
- Then, for tax purpose, we’ll consider them Indian companies, and demand capital gains tax.
- This provision will apply to all deals from 1962 onwards (hence called “Retrospective”.)
So, even after winning case in Supreme court, Vodafone’ trouble did not end.
Income tax department again sends notice for the same Capital gains tax.
Direct Tax Code (DTC)
Direct Tax Code aims to replace the Income Tax Act of 1961

Then, should we prepare DTC for exams?
Yes, because
- Economic survey 2013: recommended implementing DTC.
- Budget 2014: Jaitley said “we’ll implement DTC, after reviewing juntaa’s comments and consulting with experts.”
DTC and Indirect transfers
DTC aims to fix discrepancies in Income Tax Act, so that Vodafone like cases, do not happen again. Under DTC:
- “Indirect (asset) transfers” will be taxed in India, IF the companies involved, have at least 50 percent of their assets located in India.
- For example, Vodafone bought CGP investment ltd for ~55k crore rupees, because CGP owned 67% shares of Hutch-Essar India.
- Therefore, income tax department can demand Capital gains tax from Vodafone. (recall: Buyer pays CGT)
Limitation: what if they create three separate post box companies each owning 30-30-30%!
DTC also provided tax on “software Royalties” (with respect to that Nokia case click me)

Tax Avoidance and GAAR

- Like ^this, MNC giants have avoided ~40,000 crore rupees of capital gains Tax from India. This money could have been used for financing fiscal deficit, inflation control, and Sarkaari schemes!
- Therefore, Government decided to make new rules to stop this menace.
And, thus we come to next topic:
What is GAAR?
- General Anti Avoidance Rules.
- Originally mentioned in Budget 2012. They were to be implemented from 1/4/2014.
- IT commissioner take action against business deal made outside India, to avoid taxes.
- He can send notice to Indian Citizen, NRI, Foreigners, to recover such money:
- Even if they’re living outside India.
- Even for retrospective deals i.e. deals happened before GAAR was implemented
- Even if deals protected under any Double taxation avoidance agreement treaty.
- Burden of proof lies with the party and not IT commissioner i.e. Company has to explain their deal is genuine.
- IT commissioner has to decide the case within 12 months. Aggrieved party can approach Dispute resolution Panel (DRP) => Income Tax Appellate Tribunal (ITAT) => HC and finally Supreme Court.
- GAAR not a completely new invention. China, Australia, Canada, New Zealand, Germany, France, S.America etc already have similar concepts.
Obviously MNCs wouldn’t like it. Not one bit. They lobbied hard, finally government setup a panel under Parthsarthi Shome Panel to review the GAAR rules.

Recommended following:
- IT commissioner should send notices only in rare cases- where he can recover more than 3 crore rupees.
- GAAR should not be used for filling revenue shortfalls. Revenue shortfall occurs when government’s revenue collection is less than expected because of inflation, policy paralysis, global slowdown etc. So in such cases, GAAR should not be used for extracting more money from corporates to finance Bogus Sarkaari schemes.
- For retrospective cases- only recover tax dues. Don’t demand additional penalty and interest rate on such retrospective cases.
- Exempt the buying/selling of company shares from Capital gains tax. Better just increase the Securities Transaction Tax (STT) on buying/selling of such shares. Then, there is no litigation about “CGT evasion via post box company”. Problem permanently solved.
- Don’t implement GAAR from 2014. Implement it from April 2016.

Now next two topics: Transfer pricing and advance ruling. These are also in context of Vodafone
What is Transfer Pricing?
Recall the original concept of CGT & TDS:
- When a capital asset (shares) are transferred from seller (Kishor Biyani) to Buyer (K.M.Birla) => then Buyer has to withhold / deduct the capital gains tax for government.
- Biyani and Birla are two unique businessmen / promoters. So, when share transferred from one person to another, we can hope the share price are decided by market forces of supply, demand and speculation.
- BUT WHAT IF two subsidiary companies transfer shares to each other, and play mischief.
Vodafone Transfer Pricing Issue
Vodafone London has two subsidiaries:
- Mauritius: Vodafone Teleservices India Holding Mauritius.
- India: (Call center) Vodafone India Services (VISPL)

In short,
- Vodafone transferred its call centre shares from India to Mauritius at an undervalued price
- this was one type of hidden loan / secret transfer of profit.
- IT dept wants capital gains tax on this.
That’s the Vodafone Transfer Pricing issue. Case pending in Income Tax Appellate Tribunal (ITAT).
Shell India, also caught in similar controversy.
Budget 2014: transfer pricing reforms
Jaitley made new reforms in Budget 2014, to reduce the transfer pricing related litigations, and enhance MNC confidence to invest in India.
What is Advance Pricing Agreement?
Advance pricing agreement (APA) is an agreement between:
- Tax payer (Vodafone)
- Tax authority (IT department)
For deciding transfer price OR arm’s length price in advance.
For example:

Roll back provision
Means, If Vodafone and IT Dept. sign an APA agreement right now, its (share pricing) methodology can be applied for solving pending cases upto last four years.

What is Arm’s Length Price?
- Arm’s length price, is the price at which two unrelated parties will make a deal. (Say Kishor selling shares to Birla at 1000 crores).
- Since these two parties are unrelated, hence market forces of supply-demand will work, the (share) price will be rational.
- So, government will get the full tax it deserves.
BUT
- When MNC giant’s one subsidiary company makes deal with another subsidiary company- they’re related with each other (because main boss is the MNC).
- In this case, deal pricing may not be rational.
- Government may not get full tax it deserves.
Therefore, government wants to ensure that following two prices are same. For example:

Q. Discuss advance pricing agreements, and their role in promoting foreign investment in India. (200 words)
- When two subsidiary companies of the same MNC giant, make a deal, there are chances of price manipulation to reduce tax liability, as it allegedly happened when Vodafone’s Indian arm transferred the shares to Mauritius arm. Resulting into a lengthy litigation between Vodafone and Income tax department of India.
- 2012: Government provided for advance pricing agreement in Income tax Act.
- APA is an agreement between tax payers and tax authorities.
- It validates the transfer pricing between two interrelated companies and ensures that it is equivalent to an arm’s length price.
- 2014: Government further reformed APA system, to provide “roll back“ in APA agreements. Now APA agreements can sort out pending litigations up to past four years using multi-year data analysis for share pricing.
- Thus, APA is a win-win situation for both parties- tax authorities get their legitimate dues and companies become immune to future litigations. This clarity and continuity in tax policies will aid in bringing more foreign investment in India.

Advance Tax ruling

- This topic not directly related to Vodafone.
- But it’s easy to make silly mistakes between APA vs advance ruling. so let’s check it out:
What is Advance Tax Ruling?
- Suppose a foreign company enters India via Joint Venture / Subsidiary / etc.
- But India has a complex tax structure, the foreign company may need clarification in advance, on the Taxes that may apply to its business.
To help foreign companies, Government setup a body called….
Authority for Advance Ruling (AAR)
- It’s a statutory body Under IT Act. Started from 1993.
- composition: Retired SC judge and two government officials (of Addl.Secretary rank)
- Foreign company can file application to AAR, to seek clarification on its tax liabilities.(Fees: 2500 rupees.)
- Timeframe: AAR has to reply within 6 months.
- AAR ruling binding on both company (Tax payer) and Income tax department. IT officials cannot send notices/raids if AAR already rules in advance that xyz matter is exempted. (Although IT officials can approach HC and SC to challange AAR rulings)
- Thus, AAR provides clarity on tax structure in India. Promotes “Ease of Doing business”.
- Speedy decisions, Avoids lengthy court litigations.

How much CGT do you have to pay? That depends on “Duration”.

I say there should be no CSAT at all …either in english or in hindi. There should just be the GS paper for 200 marks in prelims. In mains, there should be no compulsory language papers and the optional papers should also be done away with. Only GS compulsory papers should remain. That way, no one can complain of discrimination. But then, this is just one person’s personal viewpoint. :)

before 2010 ,there was also almost 30-40 questions of math and reasoning in gs paper but they qualified .after csat ,meaning of entire psg has been changed …call the upsc to take psg frm regional language and change it in to English ,then u will get to know meaning of psg will be entirely changed.if u translate that psg in other language ,u will not get feeling of psg .
guys be a true civil servant ..give them a chance bcz they are from weaker chain of education system ..they did nt complete Engg or Medical or any other professional courses and govt also did not give them a big fund for those guys as professional student get for R &D .as report of kothari comm. ,Govt sud ban on professional to enter in to CIVIL SERVICES bcz they non-sence guys wasting the fund money of govt .
Concentrate on studies guys. Keep up the momentum. Study as if the prelims will be on 24th August. These distractions are in actual sense testing the concentration of the serious aspirants. So keep working hard and do not worry about the stuff which is not in our control and nor we can do anything to minimize the impact of such event.

To all the people saying that CSAT is pro-engineering students and science students, Isn’t the GS paper Pro-Humanities students?
There has been an increase in the age limit for these students by 2 years i.e. They can prepare for the exam by 2 more years. And I feel that if you cant crack an exam in 2 attempts of full preparation, please give it up and start looking for other options and don’t waste your time! Let’s not make a mockery of this exam. Checking of general aptitude of the students is a must. What will you do of candidates who only know History and Geography concepts but cant add or subtract properly, comprehend English and take a decision properly out of given choices!! Such students should be professors and not administrators. The hue and cry is really not justified.
If the Humanities students say that CSAT be scrapped, then the Science students should protest of scrapping GS!!!

dear MR.N………..and other sameMINDED PEOPLE…..csat ka koi standard nahi raha ki ias jaise exam mein chalne ke liye…..3 saal mein agar ye haal h ki bache 190+ score kar rahe h..ro aur 2-3 years ke baad to har koi 200 rakhega aur cut0ff jaega 320…..agar tumko itna dar hai ki csat hatega..to gs mein 150 scor kar ke dikha na……beta usmein kyuon phatti h..r s agrawal 2-3 baar karne ke baad kuchh bacht ahi nahi h….aur ye sita gita all,some tainQs puchh ke agar ias dhund rahe ho to phir ho gaya…itne salo se jo ias bane h wo sab kya chutiye h…aur ab jo aa rahe wo hi sirf talented h..aadhe se jyada ko to pata nahi ki optional kya rakhe…aur gs kya padhe…..khali pre qualify karke ghumte rahte h….agar tum isi type ke ho to tum ko pehle chhod deni chahiye ias ki tayari….don’t give this bullshit sugeestion to others……agar mains mein bache optional ke dam pe select ho rahe h,scoring 50-55 in gs papers…so ye reform ka kya matlab h..agar optional rehna hi h to pre mein bhi rakho….
I am from science background and I don’t think GS is pro humanities. These days GS is full of science, environment and current affairs and to an extent geography is also scientific. If you considering all this humanities then I think you are mistaken. Moreover as you are talking about CSAT’s ability to check Aptitude then that’s a sheer myth. This paper isn’t checking anything except for your practice of maths and English, in reality UPSC is confused about the definition of Aptitude and if ever they want to check the ability of the candidate as an administrator then they should give some serious thought about the nature of paper. Asking few questions on maths and English is not aptitude that shows their enslavement of mind and obsession for English and maths.

I woud really like to know who these gyz are Instead of studying ryt now for csat they are protesting agnst it so obviously they are going to fail and thoae who are studying for it are suffering. And their demand for regional language is just like demand of Pakistan for kashmir….. who authorised those handfull of people to play with career and hardwork done by thousands of people.

What happened behind recent developments?
1. Feb 11 – Senior aspirants protested for 4 more attempts; Mr. Rahul Gandhi’s intervention; 2 more attempts and consequential age relaxation; Senior aspirants started their preparation.
2. May 16 – Lok Sabha election result announced
3. May 17 – UPSC CSE(P) 2014 Notification delayed without any intimation
4. May 31 – UPSC released CSE(P) 2014 notification without any changes; NO KNOWN LOGICAL REASON for this delay!
5. Late June, Early July – When barely 2 months before scheduled exam date, NEWLY SOME 100 PEOPLE staged protest, dharna for NEW DEMANDS (Scraping CSAT). Somebody alleged that these protesters mainly political party’s student wing members. Nobody took that protest serious as exam is approaching and many wondered how GENUINE ASPIRANTS will protest when exam is only 2 months away. All India Radio (AIR) and other news agencies gave prime importance to these protest and provided news with photos and Hindi only descriptions.
6. July 15 – Just 40 days before actual exam Govt urged UPSC to postpone exam (probably 1st time in UPSC history).
Now questions raising are
1. After May 16 election result there was any unsuccessful attempts to change UPSC notification? Otherwise why UPSC delayed notification without any reason?
2. How GENUINE ASPIRANTS will stage protest, dharna just before 2 months of exam instead of concentrating on preparation? What was their hope as there was no precedent for last minute change in UPSC exam? They were already promised support?
3. All these protest, dharna are stage managed to facilitate the action that already taken (to stop the exam)?
pertinent questions dere….all ds mess n ruckus smacks of some conspiracy or hidden agenda in d inner govt circles.
according to me ,pattern of upsc is absolutely correct.i really dont think that any change is required.
just think is testing of math and english is correct for upsc…..
totally concur with whatever N has said. Its really disturbing to see this sort of absurd logic being used by some students to scrap paper 2 at such a crucial juncture when they shud be foccusing all their mental energies in preparations.

i knw people would advise at this point of time to not pay attention to rumours and all these happenings..but be practical and think..how would aspirants react to the news that the exam may be postponed..n if the exam is indeed postponed i expect the time for revision before the mains will decrease..more pressure on the aspirants..plus who wastes time before the xam to protest? why not use the time in practising comprehension and csat paper 2 rather than wasting time? scarp csat..scrap english..why dont they ask the govt to directly recuit almost 2 lakh aspirants without any xamination,,,,
I guess committee may suggest fr change in weightage fr paper 1 and 2 ..giving more weightage fr paper one without scrapping csat in total..so we shud continue prep fr both papers..jst a guess..bt we shud continue our studies till official declaration fr any change
Simple example:: jab hum dost log graduation time mein registrar ya director ko letter likhte the , to haste haste paagal ho jaate the after pointing out the mistakes we had done.
I don’t want the same for an IAS officer, ki Clerk b hasen our kahe Kisko PAKAD ke IAS bana diyaa…. English is very necessary, an nature of toughness of CSAT is very easy.
I went to village to see my NANIHAAL ( naani ka ghar), waha n mere mama ka beta class 7 mein padhta h from , aur time paas ke liye mere paas pratiyogita darpan thii, I tested him as he wants to learn english and maths as someone said him officer banna h to english our maths padho,, after testing him i found that he is able to solve 6 out of 10 questions easily of reasoning and maths and english k liye bola ki yeh to ho jaayega bas thodii si aur mehnat kar luun..
Akhangal ji….you check only your nanihal now check a student who belong to urban area who will give answer of your all 10questions……….then what will happen with your nanihal boy after 15years………you can estimate easily…..
If English is only parameter for knowledge then close all the school and colleges in UK…….
english is necessary no doubt….lekin zilla chalene ke liye DM ke paas dimag aur knowledege dono honi chahiye….aur gs ke syllabus padh ke clear karne ke baad ek candidate eligible hota h….aur hamare PM khud hindi bolenge bahar jake bhi..iska matlab ye nahi ki bahar ke log hasenge…..it shows ur mentaliti bro..and for ur kind info..csat is not testing application writing etc…and these bloddy 6th class Qs can’t test one’s aptitude…agar csat ka haal 3 saal mein ye h ki 190,200 …bachhe la rahe h….to ho gayi phir ..kitna din chal payega.ye csat…ha ha ha ………..
it doesnt mean u scrap CSAT exam which judge your mentality , basic english which they asked . changing upsc criteria according to ur own comfort or ease of subject, is not the meaning of exam . it lowers UPSC image , at the time of globalization they want to stick back 90s era is that justify , for our country. why not they do dharna for CAT, IBPS , SSC, ALL even C AND D grades exam , ask english . reasoning and mathematics . r they fool who set the criteria lol …..
Yes actually they are Fool. They are confused people who can not think of innovative techniques for checking one’s aptitude but the same old repetitive useless things. I don’t think not asking CSAT lowers the image image of UPSC but it’s other way round.
