Prologue

After Budget 2014, six terms in news:
- Transfer Pricing
- Advanced Pricing agreements (APA), roll back provision

All of them aim to reduce tax litigation, have direct-indirect connection with Vodafone case. So let’s refresh those old concepts.
What is Capital Gains Tax (CGT)?
- is a direct tax
- Levied on profit, when you sell capital assets (shares, gold etc)
- Matter falls under IT department, because it’s a direct tax.

CGT & Withholding norms (TDS)

- Assume Kishor Biyani wants to sell Pantaloon company to Kumar Mangalam Birla at profit of 1000 crore and has to pay 100 crore CGT to income tax department.
- In real life, seller (Kishor) himself doesn’t need to pay 100 Crore CGT to Government.
- Buyer (Birla) will have to keep aside 100 crore for government, and pay only 1000-100=900 crores to Biyani. Observe following photo
This is called withholding norms or Tax deduction at source (TDS).
Question: If income tax department doesn’t get the tax, then whom should they send notice- Buyer or Seller?
Ans. Buyer. Birla in Pantaloon deal and Vodafone in Hutch deal.
Vodafone CGT

- Hutchison (Hongkong) own a company called CGP investment Holding ltd, (Cayman Island)
- CGP owns 67% shares of Hutch-Essar India.
- Vodafone (HQ London), tells its subsidiary in Netherland, to purchase Cayman Island Company from Hutch (Hongkong) for the price of 11 billion dollars (~55k crore rupee that time)
- Now Vodafone owns CGP, therefore, and thus indirectly owns Hutch-Essar India also. Because CGP owned 67% shares of Hutch Essar India.
Ok so what’s happening?
- A buyer (Vodafone) has (indirectly) purchased shares (of an Indian company) from a seller (Hutch).
- So, does Buyer (Vodafone) have to pay Capital Gains Tax, in India?

Then Finance Minister Pranab doesn’t like it. Not one bit. So, he issues a clarification in IT act.
IT Act 1961: Clarification (2012)
- We can demand Capital gains Tax, when a foreign company is sold. IF that foreign company’s value is derived from Indian Assets. (e.g. CGP valued at 55k crore, because it owned HutchEssar India’s shares).
- Then, for tax purpose, we’ll consider them Indian companies, and demand capital gains tax.
- This provision will apply to all deals from 1962 onwards (hence called “Retrospective”.)
So, even after winning case in Supreme court, Vodafone’ trouble did not end.
Income tax department again sends notice for the same Capital gains tax.
Direct Tax Code (DTC)
Direct Tax Code aims to replace the Income Tax Act of 1961

Then, should we prepare DTC for exams?
Yes, because
- Economic survey 2013: recommended implementing DTC.
- Budget 2014: Jaitley said “we’ll implement DTC, after reviewing juntaa’s comments and consulting with experts.”
DTC and Indirect transfers
DTC aims to fix discrepancies in Income Tax Act, so that Vodafone like cases, do not happen again. Under DTC:
- “Indirect (asset) transfers” will be taxed in India, IF the companies involved, have at least 50 percent of their assets located in India.
- For example, Vodafone bought CGP investment ltd for ~55k crore rupees, because CGP owned 67% shares of Hutch-Essar India.
- Therefore, income tax department can demand Capital gains tax from Vodafone. (recall: Buyer pays CGT)
Limitation: what if they create three separate post box companies each owning 30-30-30%!
DTC also provided tax on “software Royalties” (with respect to that Nokia case click me)

Tax Avoidance and GAAR

- Like ^this, MNC giants have avoided ~40,000 crore rupees of capital gains Tax from India. This money could have been used for financing fiscal deficit, inflation control, and Sarkaari schemes!
- Therefore, Government decided to make new rules to stop this menace.
And, thus we come to next topic:
What is GAAR?
- General Anti Avoidance Rules.
- Originally mentioned in Budget 2012. They were to be implemented from 1/4/2014.
- IT commissioner take action against business deal made outside India, to avoid taxes.
- He can send notice to Indian Citizen, NRI, Foreigners, to recover such money:
- Even if they’re living outside India.
- Even for retrospective deals i.e. deals happened before GAAR was implemented
- Even if deals protected under any Double taxation avoidance agreement treaty.
- Burden of proof lies with the party and not IT commissioner i.e. Company has to explain their deal is genuine.
- IT commissioner has to decide the case within 12 months. Aggrieved party can approach Dispute resolution Panel (DRP) => Income Tax Appellate Tribunal (ITAT) => HC and finally Supreme Court.
- GAAR not a completely new invention. China, Australia, Canada, New Zealand, Germany, France, S.America etc already have similar concepts.
Obviously MNCs wouldn’t like it. Not one bit. They lobbied hard, finally government setup a panel under Parthsarthi Shome Panel to review the GAAR rules.

Recommended following:
- IT commissioner should send notices only in rare cases- where he can recover more than 3 crore rupees.
- GAAR should not be used for filling revenue shortfalls. Revenue shortfall occurs when government’s revenue collection is less than expected because of inflation, policy paralysis, global slowdown etc. So in such cases, GAAR should not be used for extracting more money from corporates to finance Bogus Sarkaari schemes.
- For retrospective cases- only recover tax dues. Don’t demand additional penalty and interest rate on such retrospective cases.
- Exempt the buying/selling of company shares from Capital gains tax. Better just increase the Securities Transaction Tax (STT) on buying/selling of such shares. Then, there is no litigation about “CGT evasion via post box company”. Problem permanently solved.
- Don’t implement GAAR from 2014. Implement it from April 2016.

Now next two topics: Transfer pricing and advance ruling. These are also in context of Vodafone
What is Transfer Pricing?
Recall the original concept of CGT & TDS:
- When a capital asset (shares) are transferred from seller (Kishor Biyani) to Buyer (K.M.Birla) => then Buyer has to withhold / deduct the capital gains tax for government.
- Biyani and Birla are two unique businessmen / promoters. So, when share transferred from one person to another, we can hope the share price are decided by market forces of supply, demand and speculation.
- BUT WHAT IF two subsidiary companies transfer shares to each other, and play mischief.
Vodafone Transfer Pricing Issue
Vodafone London has two subsidiaries:
- Mauritius: Vodafone Teleservices India Holding Mauritius.
- India: (Call center) Vodafone India Services (VISPL)

In short,
- Vodafone transferred its call centre shares from India to Mauritius at an undervalued price
- this was one type of hidden loan / secret transfer of profit.
- IT dept wants capital gains tax on this.
That’s the Vodafone Transfer Pricing issue. Case pending in Income Tax Appellate Tribunal (ITAT).
Shell India, also caught in similar controversy.
Budget 2014: transfer pricing reforms
Jaitley made new reforms in Budget 2014, to reduce the transfer pricing related litigations, and enhance MNC confidence to invest in India.
What is Advance Pricing Agreement?
Advance pricing agreement (APA) is an agreement between:
- Tax payer (Vodafone)
- Tax authority (IT department)
For deciding transfer price OR arm’s length price in advance.
For example:

- Ok then what is Jaitley’s innovation in 2014?
Roll back provision
Means, If Vodafone and IT Dept. sign an APA agreement right now, its (share pricing) methodology can be applied for solving pending cases upto last four years.

What is Arm’s Length Price?
- Arm’s length price, is the price at which two unrelated parties will make a deal. (Say Kishor selling shares to Birla at 1000 crores).
- Since these two parties are unrelated, hence market forces of supply-demand will work, the (share) price will be rational.
- So, government will get the full tax it deserves.
BUT
- When MNC giant’s one subsidiary company makes deal with another subsidiary company- they’re related with each other (because main boss is the MNC).
- In this case, deal pricing may not be rational.
- Government may not get full tax it deserves.
Therefore, government wants to ensure that following two prices are same. For example:

Q. Discuss advance pricing agreements, and their role in promoting foreign investment in India. (200 words)
- When two subsidiary companies of the same MNC giant, make a deal, there are chances of price manipulation to reduce tax liability, as it allegedly happened when Vodafone’s Indian arm transferred the shares to Mauritius arm. Resulting into a lengthy litigation between Vodafone and Income tax department of India.
- 2012: Government provided for advance pricing agreement in Income tax Act.
- APA is an agreement between tax payers and tax authorities.
- It validates the transfer pricing between two interrelated companies and ensures that it is equivalent to an arm’s length price.
- 2014: Government further reformed APA system, to provide “roll back“ in APA agreements. Now APA agreements can sort out pending litigations up to past four years using multi-year data analysis for share pricing.
- Thus, APA is a win-win situation for both parties- tax authorities get their legitimate dues and companies become immune to future litigations. This clarity and continuity in tax policies will aid in bringing more foreign investment in India.

Advance Tax ruling

- This topic not directly related to Vodafone.
- But it’s easy to make silly mistakes between APA vs advance ruling. so let’s check it out:
What is Advance Tax Ruling?
- Suppose a foreign company enters India via Joint Venture / Subsidiary / etc.
- But India has a complex tax structure, the foreign company may need clarification in advance, on the Taxes that may apply to its business.
To help foreign companies, Government setup a body called….
Authority for Advance Ruling (AAR)
- It’s a statutory body Under IT Act. Started from 1993.
- composition: Retired SC judge and two government officials (of Addl.Secretary rank)
- Foreign company can file application to AAR, to seek clarification on its tax liabilities.(Fees: 2500 rupees.)
- Timeframe: AAR has to reply within 6 months.
- AAR ruling binding on both company (Tax payer) and Income tax department. IT officials cannot send notices/raids if AAR already rules in advance that xyz matter is exempted. (Although IT officials can approach HC and SC to challange AAR rulings)
- Thus, AAR provides clarity on tax structure in India. Promotes “Ease of Doing business”.
- Speedy decisions, Avoids lengthy court litigations.

- More than 4 lakh crore worth tax money cases stuck in litigations. In this article, my purpose was to cover the bodies/reform that’ll aid in that regard.

A1: CGT: Short term vs Long term
How much CGT do you have to pay? That depends on “Duration”.

- June 2014: Government appointed former Chief Justice of India R. C. Lahoti as arbitrator. He’ll look only at Hutch CGT case. And NOT at the call centre transfer pricing (Because that matter still pending.)

Well that’s a stupid argument to make. If majority of exam takers are engineers(70%) then they are bound to be a majority in the list of selections as well.
It’s nt wrng at all…Bro meri baat suno aap. Govt. itne kharch krti hai bacchon ko IITs, IIMs and AIIMs or any othr institutes mein padhane k liye.
Aur ye bacche v padhte hain wahan . Bt just think abt it, unme se kuch ko baad mein IAS officers banne ka v mann krne lagta hai. Just tell me agr us same student ko govt. kehti hai rural area mein kuch din practice kro then they strt protestng it. Why becasuse they don’t feel comfortable in rural areas of the same country where they want to be the district magistrate. And during interviews jab unse pucha jata hai that why do you want to be an ias officer? Then unka ans hota hai for the well being of our society, country and blah blah….What about the general students.?? Aap IITs mein jate ho and you get facilities like library and all just think about the place where there is no any functional library. I am an english hons. student and also have not read History, Geography and Pol. Sc. after my 10th board exams. I too read that so there is also no any issue ki engineers hote hue v ya dr. hote hue v sirf aap sab G.S padhte ho. For me, also it was all new or for any other arts students belonging to Psychology or HIndi hons.
I am not against CSAT and at the same time I too agree this is not the appropriate time to protest. I have also put my sincere efforts for this and ready for this year Prelims. But do you know I live in one of the capital city of our country aur mujhe yahan The Hindu ek din delay se milti hai till then I have to rely on internet. I presently stay at hostel and in my hometown The Hindu is supposed to come after 2 days delay. Even people don’t receive these newspaper everyday during rainy seasons or any unfortunate reasons. So, equality must be granted. If The Hindu is such a reliable material for UPSC why don’t the newspaper is printed in each and every state of our country to make it more feasible. And just for your kind information each and every person cannot afford internet connectivity due to various reasons especially the rural ones.
The selection should be fair and should give equal opportunities to all belonging to rural, urban as well as metro city candidates. And I too hope the ends goes well and the govt. should take any decision keeping in mind of the upcoming examination without hampering it.
Atlast, I would like to say that if english is such a big issue for these candidates why don’t they strike in front of the The Hindu newspaper office then just creating havoc in front of UPSC. ( One can take it seriously):-)

If something is hard for us ..it does not mean we should ignore it. It is always said by seniors that we must try to overcome our weak points. When you people were in school all the subjects {including english (even for hindi med students} were compulsory to clear. Did you protest during that time or study hard to clear that particular subject? Why aren’t we ready to learn? Every exam has its own pattern. and this is the most prestigious exam of our country. Moreover, English is a universal….a secular language. Fighting for moulding the exam as per our own requirement is not justified. This kind of protests shows our weakness of not ready to take challenges.

2 things are needed for Developing India to turn into Developed India…
1: Quality in finished products or Raw material.. = which is nit possible becoz of Our Netaji and Shirker mentality of Indians.
2: Convincing the world that Indian products r best. = which is the only option we have.. and for this we required good diplomats with high communication skills..
so, CSAT rahe ya na rahe… bc at least English aani chaiye.

I very well understand the plight of Hindi speaking students…But, everyone please understand that inspite of Hindi being our National language ,there are few states where the reach of Hindi is merely nil…Then imagine the plight of the students who neither knew Hindi nor English to write the exam(the one who studied in their regional language)…If this protest is to give voice for Hindi then what’s the plight of other language students….
Now if you all wanted to raise the finger against me for not knowing the National language…then blame my region’s politicians who protested against Hindi being taught in our school…..
Generally when we read out something,our brain would try to convert them into our mother tounge and process it…Then I would say giving translation in Hindi has an upper hand to majority of students ;allowing the minorities to suffer…
One thing that they can do is to ask for the language preference when we fill our application forms and can provide the corressponding question paper…But its practically impossible..
Now its in the hands of UPSC to decide whom they should punish ….
after few days they ll demand stop multiple choice , next few days they demand 5th class std level g.k , giving shape according to your comfort zone should not be criteria for any exam .. but this pseudo secular, pseudo democratic words ( dharna dance ) ll take our country to pinnacle . shit shit

Are you even having knowledge of their situation? Have you ever been to any village school forget about college? Or even to any sarkari college in up/bihar/raj/jhar etc?
There is no denying that one should have atleast working knowledge of english but at the same time this should not become undue advantage to any one, unfortunately it has become.
Plus, it seems that you are damn afraid of g.s which you or infact any one shouldn’t be. G.s gives level playing to all. Right? Plus you are not applying for p.o/clerk exam where in you have to be more competent in eng-maths than your subordinate.
So think dispassionately!

As a CSE aspirant, i am reading Indian History.We Indians always have the golden policy of “DIVIDE and RULE”. Earlier Kings and priests divide us on the basis of VARNAS, then Britishers on HINDU/MUSLIM, congress into moderates/extremists and now the govt. and some coaching institutes on the basis of English/Hindi.
Does anyone knows about the number of genuine agitators against CSAT. please don’t become the puppet of the hands of some people. We are preparing for the most Prestigious Exam. If we can study for 160-170 questions of CSE-Prelims , so why we can’t cover those 10-20 questions based on English Language. So, please don’t degrade the value of the exam by making mockery of Indian Law and Govt.

Though i am also from vernacular medium till 12th but later during my engineering i realised had i studied from ENglish Medium i would have been at better position. Plethora of opportunities open up after knowing ENGLISH well. Those who are opposing this, should spend around 1 year( depends on their capability) in learning ENGLISH first ( by basics Word Power Made Easy, and how to read better and faster etc) and writing practice too then only appear at ALL INDIA Competition. I read once in CSR magazine from one of veteran IAS that people uncomfortable in ENGLISH become laughing material in the academy. So to avoid humiliation later, please prepare this in advance and also it boosts up confidence. REALLY it does.

jab coaching walo se kharab result ka karan puchne lage to in vyapariyo ne csat ko mudda bana diya. vaise upsc ka bhi kam dosh nahi hai. akhir vo is tarah se bina research kiya naye naye format -pattern kyu la deti. prashno ka sahi tarike se banaya jana chahiye, ekdam klisht nahi honi chahiye.
aur akhir upsc inte vishal aur vichitra syllabus se kya hasil karna chahti. upsc ko adhikari chahiye ya human encyclopedia. akhir kyu coaching business itna fal-ful raha hai. kaha gaya tha 2013 ke badlv ke baad coaching ki jarurat nahi padegi par huya ekdam ulta. coaching walo ne fee bhi badha diya. lakh kaha jaye par coaching ke jarurat ko nakara nahi ja sakta. adhiktar log coaching se hi nikalte hai [par chuki coaching ek business hai aur adhik se adhik grahak banane ke fer me overall success rate niche girta ja raha hai…..bhole bhale logo jinka base bahut majboot nahi unko bhi IAS banane ka khwab dikha dete hai.]
abhi koi nai debate start karne ka samay nahi hai. par badlav jaruri hai. ye civil servants desh ki steel frame aur engine hai. lekin akhir kab tak colonial pattern par hi exam hote rahenge. gahan research aur sabhi logo se ray lekar sudhar laya jana chahiye.sirf human encyclopedia hone se desh nahi vikash karega. akhir yehi civil servants to desh ko lootne ke liye sabse jyada jimmedar hai. inke vajah se hi sabhi kanoon, schemes sirf kagazo me kaid ho kar rah gayi hain. interview me uche uche vichar rakhte par power milne ke bad prabhu ban jate, janta se ekdam kat kar rahte hai, tax payers ke dhan ko lootate hai, barbad karte hai. halanki sab chor nahi hai par ye bhi sach hai ki adhiktar chor hi hai. azadi ke intne salo se bad bhi ham abhi tak bijli, pani, sadak, garib hatao jaise naaro ke yug me hi nahi ji rahe hain.
kya yah sach nahi hai adiktar log IAS/IPS etc isliye banana chahte hai hi moti upari kamai ho, karodo dahej mile, netao ke sath mil desh ko loote. shuruat me bhale idealist mindset rahe par kuch hi salo me puri tarah bhrastachar ke rang me rang jate hai. kisi ke man kya chal raha hai koi nahi jaan sakta par syllabus ko sudhar kar aisa banaya ja sakta hai jisase visionary, naitik aur karmath log hi chune ja sake. aise exam ko pass karne liye kisi coaching ki jarurat nahi honi chahiye kyunki isme ho safal honge jinme ye qualities natural hai. aur aisa exam kisi ek board ke rahmo karm par nahi chhoda jana chahiye balki kam se kam 3 board hone chahiye.
IAS, IPS, IFS, IRS, IPos, IAAS, IRTS, IRPS,ITS adi ke job profile alag alag to ek hi exam lena ka kya auchitya. IRS kuch services ke liye accounts adi ki jankari chahiye par accountancy ke bare me na puckhar geography, history se sawal puchha jata hai. police ko law adi ki jankari honi chahiye par usako bhi yahi sab pucha jata hai. aisa sabhi services ke saath hai. aur IAS ko promotion adi bhi preferance bhi jati, vah un deptts ka bhi head ban jata jinki ke bare me usaki jankari matar ke dane ke barabar hoti hai. aisa kaha jata ki ias ki kamai, dowry, power anya services se jayada hoti hai, isliye to sab select hone ke bad fir exam dete ias banane ke liye. bechare anya log jo list me na nahi aa sake unke sath anyay ho jata hai.
mujhe is baat ka ehasas hai ki yaha likhane ke bajay abhi padhai karni chahiye. par mai to kya koi bhi ye nah kak sakta vo agar padhta hai select hi ho jayega aur top ki rank milegi.upsc me u ka matlab unpredictable hota hai. sawal kaha se ayenge koi nahi janta. aur itne sare honge ki 3 ghante me rajnikant bhi nahi likh paye. jo himmatwala hoga vo kuch bhi baat bana dene se 45-48 % marks lekar topper ban jayega. jo na likh paye itne kam samay me usaka 1 saal barbad. par jo game ke rules unko to manana hi padega. jitna to hai aur har hal me jitenge. badlav lana hai to andar ghusna padega.

Yeh eng vs hindi ka debate nahi hai…y u all forget that…UPSC DOES T SELECTION…AN INDEPENDANT BODY…he is no english guys lover… AGAR NAYA CSAT PATTERN AANE SE hindu medium gt disadvantage ..iska matlab we need to scrap it???…. It has changed pattern amids changing style of governanvce and it was a need of t time..also they did it after recomendation from various comittee…..y dont u just change urself wth t pattern…..it isnt that hard as u make csat to be….also Wt u expect brother… English medium ka matlab nahi ki english medium se padhne waloo ki faratedaar english hai….humhari bhi lagti hai csat mein… Aptitude test is internationally recognised test needed fr a administrator/manager….. agar app class 10th level ke english and apti se aapki halat kharab ho rahi hai….then its a real shame tht u r trying for IAS.. Its a personal opinion :D

Bhai.. Y r u scared of 2+2….. Aptitude is more than 2+2 anyway…. Kal aap ias banege … Basic 10th level is english aur math se darenge?…. wt abt non hindi guys….they anyway have only english in t paper..they r nt crying ….hindi guys r just hijacking it for their advantage….is baar hindi medium ke kam selection ka bahut reason ho sakta hai…..due to new pattern (wth one optional +csat) lot of new guys applied…competition bada hai…hindi wale lost due to more dynamic junta..but they can fight back rather thn cry one it….but having said that Csat is lil disadvatage to rural junta (including non hindi) i think agar itna bwal hua hai to maximum csat ka weightage 50% kiya za sakta hai…per scrap kerna is really nt a solution… Change with time … Thats a universal rule .those who dont will perish …no point blaming t system…. Everyone is capable

matter ye hai ki csat me jo paricchhed ( passages ) aate hai hindi ke unhe
english se hindi me translate na karte hue kitabi hindi bhasa me likha jaana chahiye jo kahi padi b ho.
I think hindi madhyam waalo ke liye wo english ke passages nahi balki hindi ke paricchhed jyada kathin hai kyonki us hindi bhasa ka use to kam ke kam mene to kahi hote dekha nahi ..
